Changes - january '24

Following the introduction of the new contract law, a few small adjustments have been made to our general terms and conditions. We are happy to summarize them for you below:

Amended articles

Article 1: The definitions of the terms “agreement” and “specific conditions” have been expanded.

Article 2: Concerning the formation of an agreement between the customer and Office-IT, this article has been further clarified.

Article 10: Supplemented with the information that, from now on, the general terms and conditions of products and services from third-party suppliers that Office-IT resells to its customers will be made available to the customer via the Office-IT website (link).

Article 15: The index for price adjustments has been changed from the old general Agoria index to the new Agoria Digital Index, which is more in line with the activities of Office-IT. 

Articles 19 and 20: Payment terms now start from the receipt of the invoice instead of from the invoice date.

Article 30: The fixed monthly fee for monitoring and maintenance services has been described in greater detail. Monitoring and maintenance services will be charged at a fixed price per device per month.

Article 59: Addition of the paragraph “In the event that a Party is prevented due to a Force Majeure event, it shall notify the other Party thereof in writing within a reasonable period after the commencement of the Force Majeure event.”

Point 18, Article 60 has been added and addresses what to do in the case of hardship. ‘Hardship’ refers to an unforeseeable situation that creates such a serious imbalance between the contracting parties that the continued execution of the agreement under unchanged circumstances becomes extraordinarily disadvantageous for one of the parties.
